Ken BertschKen Bertsch is Executive Director of the Council of Institutional Investors.  He has more than two decades of experience in financial and corporate governance matters in leadership roles at CamberView Partners, the Society of Corporate Secretaries & Governance Professionals, Morgan Stanley Investment Management, Moody’s Investors Service, TIAA-CREF and the Investor Responsibility Research Center. He holds a JD from Fordham University School and an undergraduate degree from Williams College. He is also a board member of the IRRC Institute.

Governance provisions and one share, one vote structure critical to protecting IPO shareholders

Members of the Council of Institutional Investors in March adopted a new policy urging companies to use a one-share, one-vote structure when they IPO. CEOs of multiple-class structures often justify them as promoting management’s ability to pursue long-term investment in the face of short-term market pressures. But the results of this approach don’t support that reasoning.
