Can Congress Cure Corporate Governance?

“On May 19, Charles Schumer, D-N.Y., and Maria Cantwell, D-Wash., introduced the Shareholder Bill of Rights Act of 2009 in the U.S. Senate. Arguably, it is one of the most significant efforts by Congress to reform the shareholder rights and corporate governance realm since the creation of the U.S. Securities and Exchange Commission more than 70 years ago.

The impetus for the bill is the current desperate condition of the U.S. economy and financial system. The body of the bill partly faults a “widespread failure of corporate governance,” and the lack of accountability of the members of corporate boards to shareholders for causing the loss of trillions of dollars in shareholder value held by millions of Americans in pension plans, 401(k) plans and direct investments. US corporate governance reforms should follow Canada’s lead

“The United States remains one of the few Anglo-Saxon economies that does not adequately vet and review the directors of its public companies, despite a recent push for new rules, says a York University expert in corporate governance.

‘It is a noticeable omission in these latest reforms and the lack of proper governance has cost the US dearly in the past,’ said Richard Leblanc, a professor of Corporate Governance, Law and Ethics in York’s Faculty of Liberal Arts and Professional Studies in Toronto.”

Bayer official pushes appropriate, ethical business behavior

“Since March, Melissa Cameron has served as ombudsman for Bayer Corp., the North American operations of German chemicals giant Bayer AG. In her role, Ms. Cameron acts as a resource to employees to help mediate disputes and provide answers about policies, ethics and corporate practices. Bayer has 17,000 employees in the United States and Canada, including 2,700 in the Pittsburgh region.”

They are building the original border fence as originally planned, not faulty short-cuts? But we have enemies who have ignored their oath of office and plan to weaken any amendments. As with the 1986 immigration AMNESTY law that was never broken, but disrupted and never enforced. Now they want another AMNESTY or immigration reform package.

    It was the politicians who caused the problem of between 13 to 20 million settling here and unable to support themselves. Lawmakers can now stew in their own juices, because we refuse–absolutely refuse, to be sold on another path to citizenship, as it will be yet another higher tax burden on taxpayers. California being just one of many Sanctuary States–that has produced massive budget deficit problems, cause by the huge influx of illegal poor living on state and federal welfare.

    Senators and Representatives aides are unhappy with the constant bombardment from millions of Americans, but they are the bridge that must be crossed everyday? No respite, no retreat?
