NYSE Establishes Advisory Committee to Study U.S. Corporate Governance Practices
News broke over the last couple of days that the New York Stock Exchange has established an advisory committee to analyze corporate governance practices in the United States. Specifically, it sounds like a couple of the major issues to be on the advisory committee’s plate will be the proxy process and improve nationwide governance standards.

NYSE Forms Governance Commission To Study Proxy Process
“On the heels of the elimination of broker voting in director elections, the New York Stock Exchange has announced the creation of an independent advisory commission to examine U.S. corporate governance and the overall proxy process.
The advisory commission will be led by Larry Sonsini, chairman of the powerhouse law firm Wilson Sonsini Goodrich & Rosati, and will take a “comprehensive look at strengthening U.S. best practices for corporate governance and the proxy process,” according to a NYSE press release.”

NYSE Proposes Changes To Corporate Governance Standards
The New York Stock Exchange has proposed a number of changes to its corporate governance standards under Section 303A of its listed company manual to clarify some disclosure requirements, codify some interpretations since the rules were enacted, and replace certain disclosure requirements of Regulation S-K.
If approved, the changes will take effect January 2010.

NYSE addresses corporate governance best practice
The New York Stock Exchange (NYSE) has announced it is to form an independent advisory commission to take a comprehensive look at strengthening US best practices for corporate governance and the proxy process.
The advisory commission will be chaired by Larry Sonsini, chairman of Wilson, Sonsini, Goodrich & Rosati, who chaired the former proxy working group formed by the NYSE in 2005.
Other members will be announced soon, and will comprise experts in all aspects of corporate governance and the US proxy system so that a wide variety of perspectives can be collected, including those of public companies, shareholders, and institutional and individual investors.
